Downtown LaGrange Development Authority and the City of LaGrange, Georgia, in the Superior Court of Troup County, Georgia, the same being a proceeding to confirm and validate an issue of Downtown LaGrange Development Authority (Georgia) Taxable Revenue Refunding Bond (Carmike Cinema Project), Series 2014 (the "Series 2014 Bond"), in the aggregate principal amount of $2,290,000. The Series 2014 Bond is being issued by the Downtown LaGrange Development Authority (the "Authority") in order to (a) refund a portion of the previously issued revenue bond designated Downtown LaGrange Development Authority (Georgia) Taxable Revenue Bond, Series 2005 (the "Series 2005 Bond") and issued to finance a certain movie theater in the City of LaGrange, Georgia, (the "City") to be owned by the Authority and (b) pay the costs of issuing the Series 2014 Bond. In such proceeding, the Court will also pass upon the validity and enforceability of an Intergovernmental Contract, dated as of September 30, 2014 (the "Contract"), between the City and the Authority. Under the terms of the Contract, the City will agree to pay to the Authority amounts sufficient to pay the principal of and interest on the Series 2014 Bond as the same become due and payable, and to levy an ad valorem property tax on all property in the City subject to such tax as may be necessary to make the payments required by the Contract. The payments to be made by the City pursuant to the Contract have been pledged as security for the Series 2014 Bond.
